These terms are the agreement between you and Spare Portal L.L.C. (Spare), a company registered in the United Arab Emirates, covering your use of the Spare app, the Spare website and the seller dashboards.

By creating an account, listing a part, placing a bid or placing an order, you accept these terms. If you do not accept them, please do not use Spare.

1. What Spare is

Spare is a marketplace for car parts in the United Arab Emirates. Sellers list parts; buyers buy them. Some sellers are businesses we have approved as vendors, and some are private individuals selling their own parts.

Spare is not the seller. When you buy a part, the contract for that part is between you and the seller who listed it. Spare provides the marketplace, takes payment for the seller, and helps where it reasonably can, but the part itself, its description, its condition and its fitness for your vehicle are the seller's responsibility.

Spare does not hold your money on your behalf. Payments are processed by our payment provider and settled to sellers on a fixed cycle. Spare is not an escrow service and does not offer one.

2. Your account

You must be at least 18 years old to hold a Spare account.

You must give accurate information when you register, and keep it up to date. We verify your email address by sending you a code, and we may ask you to confirm a code again when you sign in from a device we have not seen before, or have not seen for 30 days.

You are responsible for what happens under your account. Keep your password and your verification codes to yourself. Tell us straight away if you think somebody else has access.

You may hold one account. We may suspend or close an account that breaks these terms, is used fraudulently, or is used to harass other people.

3. Listing a part

Businesses list as verified vendors, on a plan that sets what they may list and how many listings they may hold at once. Private individuals list through the Sell flow in the app, and may be charged a one-off listing fee for the package they choose. The fee, the number of days the listing runs and the number of photographs allowed are shown to you before you pay.

Every listing needs at least one photograph, and a used part needs the chassis number of the vehicle it came off.

Your listing must describe the part honestly. The condition you state, the photographs you upload and the vehicles you say it fits must be true of the actual part you are selling. Selling a part that does not match its listing is the clearest way to lose your account.

Listings are checked against a list of words that are not allowed, and offensive language is refused. We may refuse, remove or take down a listing, and we may put a listing back into review when it is edited. If we reject a listing we tell you why, and putting the same part back on sale sends it to us for approval rather than straight back to the shelf.

A private listing runs for the number of days in the package you bought and then stops appearing. It is not deleted; you can put it back on sale.

4. What you may not list or do

Do not list: counterfeit or falsely branded parts; stolen parts, or parts you cannot prove you are entitled to sell; parts that are illegal to sell in the UAE; airbags, seatbelt pretensioners or other pyrotechnic safety components unless you are legally permitted to sell them; anything that is not a vehicle part, accessory or tool.

Do not post a wanted advertisement as a listing. Spare is for parts that are for sale.

Do not use Spare to move a transaction off the platform in order to avoid fees, and do not ask a buyer or seller to do so.

Do not scrape, copy or republish other people's listings or photographs, and do not attempt to interfere with the service, its rate limits or anybody else's account.

5. Your photographs and text

You keep ownership of the photographs and descriptions you upload. You give Spare permission to host them, resize them, generate thumbnails, and index them so that buyers can find your part — including by searching with a photograph of their own. That permission lasts while your listing is on Spare and for as long as we must keep records of a sale.

You confirm that the photographs are yours to use, that they show the actual part you are selling, and that they do not contain anybody else's branding, personal information or number plates.

6. Prices, fees and buying

Prices are in UAE dirhams and are set by the seller.

Spare adds a service charge to each order. It is calculated as a percentage of the order, or as a fixed amount, depending on how the platform is configured, and it may have a minimum and a maximum. The exact amount is shown to you in the payment summary before you confirm, and no charge is applied that you have not seen.

Delivery may be arranged by Spare or by the seller, depending on the seller. Where a delivery charge applies it is shown separately in the same summary, and it is set by the emirate the order is going to.

Placing an order reserves the stock. Your order is confirmed at that point. You can follow it in Orders, where it moves to shipped and then delivered as the seller or Spare completes it.

7. Payment

Card payments are handled by Stripe. Your card details are entered directly into Stripe's own secure form and are never sent to or stored on Spare's servers. Spare keeps only a reference to the saved card, and the last four digits and expiry that Stripe reports back.

Some sellers who deliver themselves accept cash on handover. Where that is offered it is shown at checkout.

Instalment options are not available yet. Where they appear in the app they are marked as unavailable and cannot be selected.

8. Auctions

Auction lots are listed by verified vendors whose plan allows it. A lot runs for one, three, five or seven days.

Each lot has a minimum increase between bids. Your first bid must be at least the starting price, and every bid after that must beat the current highest bid by at least that increase.

A lot may carry a reserve price, which is the least the seller will accept. You are never shown the reserve amount, only whether it has been met. If a lot ends below its reserve the seller has 24 hours to decide whether to sell.

Some lots can be bought immediately at a fixed price. That option disappears once bidding reaches the reserve.

A bid placed in the last two minutes extends the lot by two minutes, so that a lot cannot be won in the final second. Extensions are capped at 30 minutes in total.

A BID IS A COMMITMENT TO BUY. Nothing is charged or held when you bid, but if you win, the card saved on your account is charged automatically when the lot closes. If that charge fails we try twice more, six hours and 24 hours later. If it still fails you lose the lot and we disable bidding on your account until you contact us.

If a winner does not pay, or a lot ends below its reserve, we may offer the lot to the next highest bidder at their own last bid. That is an offer, not a charge: nothing is taken unless you accept it, and it expires after 24 hours.

A seller may cancel a lot only while it has no bids.

9. Cancelling, returning and refunds

If something is wrong with your order — the wrong part, a damaged part, a part that never arrived — open a support request from the order within 14 days of placing it, and attach photographs. We look at each one individually.

Refunds are made to the card that paid, for the whole order. We cannot refund part of an order automatically, and we cannot refund an order paid in cash. Once a seller has been paid out for an order we can no longer reverse the payment ourselves, and the matter has to be settled with the seller.

Where a refund is approved it is returned to your card and usually appears within five to ten working days.

Some listings show that the seller accepts returns or exchanges, or offers a warranty period. Those are the seller's own terms for that part, offered by the seller and not by Spare, and you should ask the seller what they cover before you buy.

Used parts are sold as described. Read the condition note and the photographs, and ask the seller through the app if anything is unclear.

10. Selling: commission and payment to you

Spare takes a commission on each sale by a vendor. The rate is the one in your plan, or the specific rate agreed with you, and it is shown on every settlement line.

Vendor sales are settled twice a month, for the first half and the second half of each month. Where you handle your own delivery, the delivery amount is passed to you in full and no commission is taken on it.

Private individuals are not paid out through Spare. A private sale is arranged and completed between the buyer and the seller.

You are responsible for your own tax position, including VAT where it applies to you.

11. Reviews and messages

You can review a part once your order has been delivered. Reviews must describe your own experience. We may hide a review that is abusive, false or unrelated to the part. A seller may reply to a review but cannot change or remove it.

Messages in the app are between a buyer and a seller about a specific listing or order. There is no open inbox: you cannot message somebody you have no listing or order in common with.

Spare does not read your messages as a matter of course. If a conversation is reported to us we may look at it in order to deal with the report.

12. Suspension and closing your account

We may pause listing, bidding or the whole account where we believe these terms have been broken, where there is fraud, or where we are required to.

You can delete your account from the app. Some things have to be settled first — an auction you are bidding on, an order that has not completed, or a seller profile, which we close for you. When your account is deleted your personal details are removed from it, and the records of completed sales are kept, because both sides of a sale need them.

13. Our responsibility

Spare provides the marketplace and takes reasonable care in running it. We do not inspect parts, and we do not guarantee that a part will fit your vehicle or perform as you expect. Check the fitment details and ask the seller before you buy.

We do not promise that the service will be uninterrupted or error free. Nothing in these terms limits any liability that cannot be limited under UAE law, including liability for fraud.

Where the law allows us to limit our liability, our total liability to you for any claim connected with an order is limited to the amount you paid for that order.

14. Changes to these terms

We may update these terms. The date at the top shows when they last changed. If a change materially affects you we will tell you in the app or by email. Continuing to use Spare after a change means you accept the updated terms.

15. Law and contact

These terms are governed by the laws of the United Arab Emirates, and the courts of Dubai have jurisdiction over any dispute.
